The Canada-Nova Scotia Offshore Petroleum Board hereby gives notice of the bids which have been selected in response to Call for Bids No. NS15-1 in the Canada-Nova Scotia offshore areas. A summary of the terms and conditions applicable to the call was published in the Canada Gazette, Part I, Vol. 149, No. 19, on May 9, 2015.

This notice is made pursuant to and subject to the Canada-Nova Scotia Offshore Petroleum Resources Accord Implementation Act, S.C. 1988, c. 28, and the Canada-Nova Scotia Offshore Petroleum Resources Accord Implementation (Nova Scotia) Act, S.N.S. 1987, c. 3 (the “Legislation”).

Pursuant to Call for Bids No. NS15-1, bids were to be submitted in a prescribed form and were to contain only the information required on this form. In accordance with the requirements, the following bids have been selected. Subject to ministerial approval, the Board will issue Exploration Licences for these parcels in January 2016.

Call for Bids No. NS15-1

The Canada-Nova Scotia Offshore Petroleum Board (the “Board”) hereby gives notice of the terms and conditions of the interests issued as a result of Call for Bids No. NS15-1. The bids selected, and the information contained on the prescribed bid forms, were published in the Canada Gazette, Part 1.

This notice is made pursuant to and subject to the Canada-Nova Scotia Offshore Petroleum Resources Accord Implementation Act, S.C. 1988, c. 28, and the Canada-Nova Scotia Offshore Petroleum Resources Accord Implementation (Nova Scotia) Act, S.N.S. 1987, c. 3 (the “Legislation”).

Exploration Licence EL 2435 was issued to the following interest owner:

The following is a summary of the terms and conditions of the above Exploration Licences:

  1. This Exploration Licence (the “Licence”) confers the rights attaching to Exploration Licences under the Legislation.
  2. TERM: The effective date of this Licence is January 15, 2016. Subject to paragraph 3(j) of the Licence, the term of this Licence is nine years, consisting of two consecutive periods referred to as Period 1 and Period 2. Period 1 is a period of six years commencing on the effective date of this Licence. This period will be extended by one year if: (i) A validating well is commenced prior to the end of the sixth year of Period 1 in accordance with paragraph 3(e) of the Licence and is still being pursued diligently into the seventh year; or (ii) A Drilling Deposit is posted before the end of the sixth year of Period 1.
  3. WORK DEPOSIT: As a condition of the issuance of this Licence, the Interest Owner has posted security with the Board for the performance of work in the amount of 25% of its Work Expenditure Bid. This Work Deposit is refundable to the extent of 25% of approved Allowable Expenditures. Approved Allowable Expenditures incurred in the first three years of this Licence will be credited at a rate of 150%. The Interest Owner is not obligated to perform work in the full dollar value of the Work Expenditure Bid under this Licence. However, if the Interest Owner does not perform work in the full amount of its Work Expenditure Bid, the unrefunded balance of the Work Deposit will be forfeited to the Receiver General for Canada upon the expiry, surrender or cancellation of Period 1.
  4. DRILLING DEPOSIT: An Interest Owner may, at its option, extend Period 1 from six years to seven years if: (i) A validating well is commenced prior to the end of the sixth year of Period 1 in accordance with paragraph 3(e) of the Licence and is still being pursued diligently into the seventh year; or (ii) A Drilling Deposit in the amount of $1,000,000.00 is posted with the Board before the end of the sixth year of Period 1. Should a Drilling Deposit be posted, it will be refunded in full if this Licence is validated for Period 2 by the drilling of a validation well. If a validation well is not drilled, the Drilling Deposit will be forfeited to the Receiver General for Canada upon the expiry, surrender or cancellation of Period 1.
  5. RENTALS: No Rentals are payable in respect of Period 1. Refundable Rentals are payable during each year of Period 2 at the following rates per hectare: year 7 — $2.50, year 8 — $5.00, year 9 — $7.50.
  6. Other terms and conditions referred to in the Licence include provisions respecting Cost Recovery, Allowable Expenditures, Exploration Plans, Indemnity, Submission of Geoscience Data, Representative, Notices, Environmental Protection, Canada-Nova Scotia Benefits, Activity Authorizations, Time Limitations and Deemed Agreement.
