LETTERS PATENT OF AMALGAMATION

Pursuant to section 233 of the Trust and Loan Companies Act (Canada), notice is hereby given that Manulife Trust Company and Manulife Trust Services Limited intend to jointly apply to the Minister of Finance on or after May 28, 2016, for the issuance of letters patent of amalgamation continuing Manulife Trust Company and Manulife Trust Services Limited as one company to be called Manulife Trust Company. Its head office will be located in Waterloo, Ontario.

Any person who objects to the issuance of these letters patent may submit the objection in writing, on or before May 28, 2016, to the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2 or by email at approvalsandprecedents@osfi-bsif.gc.ca.

ONTARIO POWER GENERATION

DOMINION WATER-POWER APPLICATION

Ontario Power Generation (OPG) hereby gives notice that on September 19, 2011, an application was filed with the Director of Waterpower, Parks Canada Agency, under the Dominion Water Power Act, for a licence to construct and operate a redeveloped generating station known as Ranney Falls. OPG is proposing to expand the total capacity of the Ranney Falls Generating Station (GS) from about 10 to 20 megawatts (MW). A Detailed Impact Analysis (DIA) has been completed by OPG in accordance with Parks Canada Agency's Environmental Impact Analysis process under the Canadian Environmental Assessment Act, 2012. The DIA is available for public review at www.ranneyfallsg3.com.

The Ranney Falls GS is located immediately adjacent to Lock Station No. 12 on the Trent-Severn Waterway (TSW), which is part of the Trent Severn Waterway National Historic Site of Canada. It is owned by Her Majesty the Queen, as represented by the Minister of the Environment for the purposes of the Parks Canada Agency.

The project involves installing a new generating station to house a new turbine of up to 10 MW, which will be located adjacent to the current power house, for a total water power plant capacity of approximately 20 MW. An older 0.8 MW generating unit will be decommissioned.

The proposed project uses the waters available in the Trent River. The project does not require any new flooding. The power generated will be offered to the competitive wholesale market for electricity in Ontario.
