REDUCTION OF STATED CAPITAL
In accordance with subsection 79(5) of the Insurance Companies Act (Canada), notice is hereby given of the intention of Arch Insurance Canada Ltd. (the "Company"), having its head office in Toronto, Ontario, Canada, to apply to the Superintendent of Financial Institutions (Canada) for approval to reduce the stated capital of the Company pursuant to a special resolution passed by the sole shareholder on November 8, 2018, which reads as follows:
- Resolved as a special resolution that
- Subject to the written or deemed approval of the Superintendent of Financial Institutions (Canada) [the "Superintendent"],
- the Company hereby declares the stated capital account maintained for its common shares to be reduced by the sum of $5,000,000 for the purpose of paying a return of capital to the sole shareholder of its common shares;
- any one director or officer of the Company is hereby authorized and directed to pay such sum of $5,000,000 to the sole shareholder of the common shares in the capital of the Company as a return of capital;
- the stated capital account maintained for the common shares of the Company shall be adjusted to reflect such reduction;
- there are no reasonable grounds for believing that the Company is, or would after the reduction of the stated capital of its common shares by $5,000,000 be in contravention of subsection 4. there are no reasonable grounds for believing that the Company is, or would after the reduction of the stated capital of its common shares by $5,000,000 be in contravention of subsection 515(1), any regulation made under subsection 515(2), or any order made under subsection 515(3), all of which subsections deal with the Company maintaining adequate capital and adequate and appropriate forms of liquidity; and
- any one director or officer of the Company is authorized and directed to do all things and execute all instruments and documents necessary or desirable to carry out the foregoing including, without limitation, the publication in the Canada Gazette of a notice of intention to apply for approval to reduce the stated capital of the Company along with this special resolution and the making of an application for the approval of the Superintendent within three months after the time of the passing of this special resolution.

Big Moon Canada Corporation hereby gives notice that an application has been made to the Minister of Transport under the Navigation Protection Act for approval of the plans and site of the work described herein. Under paragraph 5(6)(b) of the said Act, Big Moon Canada Corporation has deposited with the Minister of Transport and in the office of the District Registrar of the Land Registry Districts of Annapolis, Hants, Digby and Kings counties, at Lawrencetown, Nova Scotia, under deposit No. 113465851, a description of the site and plans for the Big Moon 5 MW tidal energy demonstration project in the Minas Passage of the Bay of Fundy, at 1233 Cape Split Road, Canning, Nova Scotia B0P 1H0, in front of lot 55014096 and that extends approximately 5 NM east and west.

CITIBANK CANADA
REDUCTION OF STATED CAPITAL
As required under subsection 75(5) of the Bank Act (Canada), notice is given that Citibank Canada (the Bank) intends to apply to the Superintendent of Financial Institutions (Canada) for approval to reduce the stated capital of the common shares of the Bank in accordance with the special resolution passed by the sole shareholder of the Bank on November 9, 2018, a copy of which is set out below.
"RESOLVED AS A SPECIAL RESOLUTION that
- Subject to the approval of the Superintendent of Financial Institutions (Canada) pursuant to subsection 75(4) of the Bank Act (Canada), the stated capital account maintained for the common shares of Citibank Canada (the "Bank") be reduced in accordance with section 75 of the Bank Act (Canada) by an amount of up to CAN$120,000,000 (the "Authorized Limit") by distributing a payment in kind to the sole shareholder of the Bank on December 31, 2018;
- The directors and officers of the Bank are hereby authorized and directed to apply under subsection 75(4) of the Bank Act (Canada) for approval of this resolution and such reduction of stated capital;
- The Bank may effect a reduction of stated capital within the Authorized Limit and the Bank's Chief Financial Officer shall determine the amount of such reduction; and
- Any officer or director of the Bank is authorized and directed, for and on behalf of the Bank, to execute and deliver all such documents and to do such other acts or things as may be determined to be necessary or advisable to give effect to this resolution, the execution of any such document or the doing of any such other act or thing being conclusive evidence of such determination."
