LETTERS PATENT OF AMALGAMATION

Notice is hereby given, pursuant to the provisions of section 250 of the Insurance Companies Act (Canada), that, subject to the approval of an amalgamation agreement by the Superintendent of Financial Institutions, Heartland Farm Mutual Inc. and The Kings Mutual Insurance Company (together, the "Applicants") intend to make a joint application to the Minister of Finance, on or after April 27, 2021, for letters patent of amalgamation continuing the Applicants as one company under the name "Heartland Farm Mutual Inc.". The head office of the amalgamated company would be located in Waterloo, Ontario.

The effective date of the proposed amalgamation would be June 30, 2021, or any other date fixed by the letters patent of amalgamation.

A copy of the report of the independent actuary (and summary) will be available for inspection by the policyholders of each of Heartland Farm Mutual Inc. and The Kings Mutual Insurance Company during regular business hours at the applicable address as set out below.

CONTINUANCE UNDER THE CANADA BUSINESS CORPORATIONS ACT AND DISCONTINUANCE UNDER THE BANK ACT

Notice is hereby given that Société Générale (Canada), a bank under the Bank Act (Canada), intends to apply to the Minister of Finance, on or after March 16, 2021, pursuant to paragraph 39.1(1)(a) of the Bank Act (Canada), for approval to apply for a certificate of continuance as a numbered corporation under the Canada Business Corporations Act (Canada).

Note: The publication of this notice should not be construed as evidence that the approval will be issued. The granting of such approval will be dependent upon the normal Bank Act (Canada) review process and the discretion of the Minister of Finance.
